OFFICIAL COMPETITION RULES & REGULATIONS 

Sponsor: myMuze Inc. & Rock the Vote

Eligibility: The ROCKIN THE VOTE Talent Competition (“Competition”) is open to legal residents of the United States (except residents of Arizona, Connecticut and wherever restricted or prohibited by law or regulation), who are at least 18 years of age as of the date of entry. Void wherever prohibited by federal, state or local laws. Employees of Sponsor and its affiliates, subsidiaries, advertising agencies, and their immediate families or household members are not eligible to win.

Competition Period: The Competition begins at 12:01 AM (EST) on Tuesday, August 26th, 2008 and ends on 11:59 PM (EST) on Friday, November 1st, 2008 (the “Competition Period”).

How to Enter: To enter the Competition, call (641) 715-3900 Extension: 96830# and follow the instructions provided. Entrants will be required to clearly state their name, age, mobile phone number and e-mail address in the time period provided or upload your song via www.rockinthevote.com. Entrants will subsequently be requested to sing original lyrics using any one of the instrumental songs on the Rockin' The Vote Soundtrack available on Itunes. If entering via phone, instrumental track should be played in the background, while entrant leaves a voicemail message of lyrics over the track. The entrant’s lyrics must include language suitable for a mixed audience of all ages. Lyrics containing coarse, vulgar, and/or sexually explicit language will be ineligible. The song length should be no longer than 3 minutes. Entrants may enter the Competition as often as they like, but entry is limited to one entry per person per phone call or upload. The person placing the call must be over 18 years old, and, will be deemed to be the authorized account holder of the phone service, or, deemed to have permission from the authorized account holder of the phone service to incur charges on phone account of authorized account holder. “Authorized account holder" is defined as the person or entity whose name the phone account is in.

Prize: One (1) winner will receive a three (3) song demo deal with Sponsor, on terms and conditions to be determined by Sponsor. The demo deal will include 3 professionally recorded, mixed songs, equivalent to $50,000. Five (5) winners will be chosen to receive $1500 in cash and Apple products. Prize is non-transferable and no substitution by winner or cash equivalent is permitted. All taxes on prize are winner’s sole responsibility.

Judging and Selection of Winner: All entries will be judged by a panel of experts at myMuze Inc., who are experts in the music industry. Finalists must be able to travel on the dates specified by Sponsor or they will be disqualified. The decisions of the judging panel are final on all matters relating to the Competition. Winner will be selected on or about November 1, 2008. Winners will be required to sign and return to Sponsor an affidavit of eligibility, liability/publicity release and royalty-free license to the entered lyrics within ten (10) days of the date of winning notification, otherwise the prize will be forfeited, and the runner-up entrant will be deemed to be the winner. Thereafter, the winner will be required to execute the standard form of demo recording contract provided by Sponsor and deliver the duly-executed demo recording contract to Sponsor within ten (10) days of the date the document is delivered to the winner by Sponsor. If a potential winner cannot be notified within five (5) days after his/her selection, or in the event of non-compliance with any of these requirements, his/her prize will be forfeited, and the runner-up entrant will be deemed the winner.

Additional Conditions: By entering, each entrant warrants and represents in connection with the lyrics submitted as part of his/her entry that: (a) he/she is the sole author of such lyrics; (b) the lyrics are original and not derived from any existing copyrighted work: (c) he/she has all necessary rights to grant Sponsor the license set forth below; (d) the lyrics have not been previously published or submitted in any other competition(s) and/or to any person or entity for use in any media, including, without limitation, any books, magazines, postcards or calendars; (e) the lyrics do not defame or otherwise violate the rights of any third party; (f) the lyrics do not violate any federal, state or local laws or ordinances; and (g) the recording made in connection with the Competition entry was personally performed by the entrant. Any entry in this Competition shall remain the exclusive property of entrant and entrant grants to Sponsor and its designees a perpetual, worldwide right and license to edit, publish and use the lyrics in any way and in any media for trade, advertising, promotional and/or other purposes as Sponsor may determine in its sole discretion without further consideration to entrant or winner. Entrant agrees to hold harmless Sponsor, its officers, directors, employees, divisions, affiliates, subsidiaries, advertising and promotional agencies, from any claim by any third party relating to any rights in any lyrics submitted. By participating in the Competition, entrant agrees to be bound by these Official Rules, including all eligibility requirements and all decisions of Sponsor. Sponsor is not responsible for any: (a) lost, late, illegible, misdirected, damaged, incomplete, or garbled entries; or (b) telephone network malfunction or error. If such malfunction or error occurs or impairs the administration, security, fairness, or integrity of the Competition, Sponsor may, in its sole discretion, suspend, modify or terminate the Competition by posting a notice at www.rockinthevote.com. If the Competition is terminated before the scheduled end of the Competition Period, Sponsor will determine the winner from all eligible entries received as of the termination date. Persons found tampering with or abusing any aspect of the Competition, or whom Sponsor believes to be causing any malfunction, error, disruption, or damage will be disqualified. Sponsor reserves the right to disqualify any unauthorized entries. Entering the Competition constitutes permission to use the winning lyrics, name, voice, image and likeness of the winner for advertising and publicity purposes, without further compensation. All personal information will be kept secure and not be given to any third party sources, but can be used by myMUZE Incorported for advertising purposes.

Release of Liability: By participating in the Competition, entrant agrees to hold Sponsor and its officers, directors, employees, agents, affiliates, subsidiaries, and parents harmless from any and all liability, claims, or actions of any kind, including, without limitation, a breach of the representation and warranties contained herein, property damage, personal injury, and/or death, arising out of his or her participation in the Competition, and acceptance and/or use or misuse of the prize in connection with the Competition. In addition, entrant agrees that the above-mentioned entities are in no manner responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the Competition and/or the prize.

Legal Warning: Any attempt by an individual, whether or not an entrant, to deliberately damage, destroy, tamper or vandalize this website or interfere with the operations of the Competition, is a violation of criminal and civil laws, and Sponsor reserves the right to seek damages and diligently pursue all remedies against any such individual to the fullest extent permitted by law. Music Use: myMUZE holds all rights to the Rockin' the Vote Soundtrack. The Rockin' The Vote Soundtrack should be used for participation in the "Competition" only. Any unauthorized use or misuse of the Rockin' The Vote Soundtrack or tracks included on the soundtrack is a violation of criminal and civil laws, and Sponsor reserves the right to seek damages and diligently pursue all remedies against any such individual to the fullest extent permitted by law.
